Objective and Purpose of the Assignment

Provision of support to PSFI for its growing pipeline of financial institutions transactions in the PRC. This will include all aspects of project preparation and processing, including due diligence and financial analysis and modeling.

Scope of Work

The consultant will work closely with PSFI and ADB staff in Beijing, PRC, and Manila and will undertake the following: (i) financial analysis and modeling; (ii) due diligence; (iii) processing of transaction and related documentation; and (iv) legal documentation. The scope of work may also include conception and preparation of technical assistance documentation for client capacity building.

Detailed Tasks and/or Expected Output

Acquire financial and credit information on targeted financial institutions;
Perform risk ratings on each financial institution using ADB's risk-rating model;
Conduct financial, ratio, gap, and other analyses on financial institution;
For equity investments, conduct valuations with difference scenario analysis and undertake comparables market analysis;
Conduct due diligence on the financial institutions by (a) meeting with the bank/non-bank staff; (b) assessing corporate governance, anti-money laundering policies, and management capabilities; and (c) asking questions that arise from the financial analyses;
Completion of ADB integrity due diligence reports;
Risk ratings and pricing;
Draft term sheet and negotiate with client;
Based on the information accumulated, draft concept and Investment Committee papers, as well as ADB Board documentation; and
Comment on and negotiate associated legal documentation.

Minimum Qualification Requirements

Master’s degree, or equivalent, in business administration, finance, economics, or a related field;
At least 5 years of relevant work experience in banking or finance;
Experience in successfully executing equity investments and/or loans to financial institutions or providing advisory service (transaction support) for such transactions;
Strong knowledge of financial institutions, risk assessments, and countryrisk analysis;
Excellent oral and written communication skills in English;
Native Mandarin Chinese speaker; and
Willingness to travel.
